1. Product Access & Ownership

The Service Provider offers access strictly to the software admin panel only. No source code, script files, backend architecture, or ownership rights will be shared or transferred under any circumstances.

2. Demo Confirmation

Client acknowledges that a complete demo of the admin panel has been provided prior to purchase. The client confirms satisfaction with all features, functionality, and system performance before proceeding.

3. Scope as per Demo & Change Policy

The software will be delivered strictly as per the features and functionality demonstrated during the demo. Any additional modifications, customizations, or feature requests beyond the demonstrated scope will be treated as extra work and will be chargeable as per mutually agreed pricing.

No claims, disputes, or objections shall be entertained regarding features that were not included in the original demo.

4. Payment Policy

All payments made are strictly non-refundable and non-transferable under any circumstances unless explicitly agreed in writing by the Service Provider.

5. No Unauthorized Complaints

Client agrees not to initiate any chargebacks or payment disputes for services rendered under this agreement. All concerns must first be raised directly with the Service Provider for resolution.

6. Server Rent

Server rent is payable every month/year as per agreed plan. Non-payment within 7 days of due date may result in service suspension without prior notice.

7. Legal Binding & Digital Acceptance

This agreement is legally binding. OTP verification, digital signature, device details, IP address, and timestamp shall be considered valid legal proof under the Indian IT Act, 2000.

8. Confidentiality

Both parties agree to maintain strict confidentiality of all business, pricing, and technical information.

9. Governing Law

This agreement shall be governed by the laws of India. All disputes shall fall under the jurisdiction of courts located at the Service Provider’s registered office.

This agreement is legally binding and enforceable upon digital acceptance, including via OTP verification, button click, WhatsApp confirmation, or email acknowledgment.
